These Terms of Service (“Terms”) govern your access to and use of the knowite.com website, applications, and APIs (collectively, the “Service”) operated by knowite.com (“knowite,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility & account
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at support@knowite.com if you suspect unauthorized access.
2. Plans, billing & taxes
The Service is offered on free and paid subscription plans. Paid plans renew automatically each billing period (monthly or annually) until cancelled. By providing payment information you authorize us and our payment processor (Stripe, Inc.) to charge the applicable fee plus any taxes to your payment method.
- Subscription fees are non-refundable except where required by law or as described in our Refund Policy.
- You may cancel at any time from your account's billing portal; cancellation takes effect at the end of the current billing period.
- We may change pricing on prospective renewals with at least 14 days' notice by email.
- You are responsible for any taxes that apply in your jurisdiction.
3. Team seats (Business plan)
Business-plan customers may invite up to five (5) additional users (“seats”) to use the Service under their account. The account owner is solely responsible for (i) authorizing each seat, (ii) the actions of every seat, and (iii) all token consumption charged against the team quota. Seats may be removed by the owner at any time; once removed, the seat's active sessions are revoked immediately.
4. Acceptable use
You agree not to:
- Resell, sublicense, or share access to the Service outside the seats expressly purchased.
- Reverse engineer, scrape the Service, or attempt to extract our underlying data sources in bulk.
- Use the Service to violate the terms of any third-party marketplace (Amazon, Walmart, eBay, etc.) or any law.
- Interfere with the Service's operation, security, rate-limits, or quota enforcement.
- Upload or transmit malware, infringing content, or content that violates the rights of others.
We may suspend or terminate accounts that violate these rules, with or without notice.
5. Data sources & accuracy
knowite aggregates and presents publicly available marketplace data sourced from third parties (including but not limited to Keepa, ASINSpotlight, and BlueCart). We do not warrant the accuracy, completeness, or timeliness of this data. Decisions you make based on the Service are at your own risk, and knowite is not your financial, legal, or business advisor.
6. Intellectual property
knowite owns all rights to the Service, including its software, design, branding, and aggregated analytics. You receive a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription. Marketplace product names, images, and trademarks belong to their respective owners.
7. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that any data shown is accurate.
8. Limitation of liability
To the maximum extent permitted by law, knowite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability for any claim arising out of these Terms or your use of the Service shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
9. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access immediately if you breach these Terms or for legal, regulatory, or security reasons. On termination, your right to use the Service ends; provisions that by their nature should survive (e.g., IP, disclaimers, limitation of liability, dispute resolution) will continue in effect.
10. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will notify you by email and/or by posting a notice in the Service at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of these Terms, except where a different forum is required by mandatory local law.
